Terms of Service

1. About Registrum

Registrum is a cloud-based accounting and job management platform operated by Registrum Pty Ltd (ABN 29 372 825 751), a company registered in Australia. By creating an account you agree to these terms.

2. Your Account

  • You must be 18 or older to create an account
  • You are responsible for keeping your login credentials secure
  • You must provide accurate business information including your ABN where requested
  • One account per business entity unless you have purchased a multi-organisation add-on

3. Subscriptions and Payment

  • Subscriptions are billed monthly or annually depending on your chosen plan
  • Prices are in Australian Dollars (AUD) and include GST where applicable
  • Your subscription renews automatically at the end of each billing period
  • You will receive an email reminder before any annual renewal
  • You can cancel at any time from Settings → Subscription — cancellation takes effect at the end of your current billing period
  • We use Stripe for payment processing. Your card details are never stored on our servers

4. Free Trial

  • New accounts receive a free trial period as advertised on our pricing page
  • No credit card is required to start a trial
  • At the end of your trial your account moves to read-only mode
  • You will not be charged unless you actively select a plan and enter payment details

4b. Refunds and Cancellation

The free trial is your evaluation window. Once you select a paid plan and enter payment details, you confirm you have evaluated Registrum and are satisfied it meets your needs. We do not provide refunds for change of mind, the unused portion of a paid period, failure to cancel before automatic renewal, third-party interruptions (e.g. CDR bank-feed consent expiry, ATO outages), or consumed add-ons. Refunds are limited to the circumstances listed in our Refund Policy (major failure, duplicate billing, or charges after cancellation). Nothing in this clause limits your non-excludable rights under the Australian Consumer Law.

5. Your Data

  • You own your data. We do not sell it.
  • Data is stored on AWS infrastructure in Dublin, Ireland under GDPR-equivalent protections.
  • Data is encrypted in transit (TLS) and at rest using AES-256 encryption
  • On cancellation, your data is retained for 30 days then permanently deleted
  • You can export your data at any time from Settings

5b. Bank Feeds & CDR Consent

Bank feeds are powered by Basiq Pty Ltd, an ACCC-accredited open banking provider. When you connect a bank account, you grant consent for Basiq to retrieve your transaction data on your behalf. This consent is valid for 12 months under Australia's Consumer Data Right (CDR) framework and must be renewed annually. Registrum will notify you before your consent expires. Failure to renew will pause transaction imports until consent is re-authorised. You may disconnect a bank account at any time from Banking → Bank Feeds. Some financial institutions are not yet CDR-accredited and use Basiq's secure web connector instead — these connections are subject to Basiq's standard terms available at basiq.io.

6. Not a Tax or BAS Agent

Registrum is record-keeping and financial management software. Registrum Pty Ltd is not a registered tax agent, BAS agent, or SBR-enabled lodgement provider under the Tax Agent Services Act 2009 (Cth).

Reports, summaries, and files generated by the platform — including BAS summaries, STP files, payroll records, and depreciation schedules — are produced for your records only. You must verify all figures before use.

Lodgement to the ATO (including BAS, IAS, STP, and superannuation) must be performed by you or your registered tax/BAS agent via the ATO Business Portal or SBR-enabled software. Registrum accepts no liability for errors in, or arising from, reliance on platform-generated figures without independent verification.

7. Acceptable Use

You agree not to:

  • Use Registrum for any unlawful purpose
  • Attempt to access another user's account or data
  • Reverse engineer or copy any part of the platform
  • Use the platform to store or transmit malicious code
  • Misrepresent your identity or business details

8. Availability

We aim for 99.9% uptime. Planned maintenance will be communicated in advance. We are not liable for losses caused by temporary unavailability outside our reasonable control.

9. Australian Consumer Law

Nothing in these terms limits your rights under the Australian Consumer Law. If you are a consumer under the ACL, you have statutory guarantees that cannot be excluded. See our Refund Policy for full details.

10. Limitation of Liability

Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot be excluded by contract. Where the ACL permits us to limit our liability for a failure to comply with a consumer guarantee, our liability is limited (at our election) to resupplying the affected service or paying the cost of having it resupplied.

Subject to the paragraph above, and to the maximum extent permitted by law:

  • The Registrum platform is provided on an "as is" and "as available" basis, without warranties of any kind other than those that cannot be excluded by law.
  • Our total aggregate liability to you arising out of or in connection with the service, in any 12-month period, is capped at the total fees you have actually paid to Registrum Pty Ltd in that 12-month period.
  • We are not liable for indirect, incidental, special, consequential, exemplary or punitive loss; loss of profit, revenue, goodwill, business opportunity, anticipated savings, or data; or any loss arising from your reliance on figures generated by the platform without independent verification.
  • You acknowledge that you are responsible for backing up your own data (export from Settings at any time), verifying all figures before lodging with the ATO or any other authority, and consulting your own registered tax or BAS agent for tax-related decisions.

11. Changes to These Terms

We may update these terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of Registrum after that date constitutes acceptance.

12. Governing Law

These terms are governed by the laws of Victoria, Australia. Disputes will be resolved in the courts of Victoria.

Smart Notes — Fair Use & Plan Limits

The Smart Notes module includes per-plan limits on the number of notes, storage size, folders, and templates. These limits are displayed within the app at all times.

  • No surprise charges. When you reach 100% of any limit, the creation of new notes (or folders/templates) is blocked and you are presented with an option to upgrade your plan. We do not charge automatic overage fees. You will only ever be charged the advertised price of the plan you have explicitly chosen.
  • Existing content is always safe. Reaching a limit never deletes or restricts access to notes you have already created. You can continue to read, edit and export them.
  • Lifetime plan holders. Lifetime plan holders are subject to the limits of the equivalent monthly tier and are never automatically billed for additional usage. If you wish to increase your limits, you may purchase a higher Lifetime tier or move to a monthly plan.
  • Fair use. Smart Notes is intended for legitimate business knowledge management. Bulk automated content insertion designed to circumvent storage limits or harm platform performance is not permitted.
  • Data export. You may export all your notes as Markdown or CSV at any time, in line with your data portability rights under the Privacy Act 1988 (Cth).

These provisions are designed to comply with the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) — in particular the prohibitions on misleading conduct (s18) and unfair contract terms (s23) — and with ACCC subscription guidance.
